Module description

The module introduces students to key concepts, theories and issues in corporate governance. The module provides grounding in multiple perspectives of corporate governance theories as a basis upon which specific corporate governance practices and mechanisms are discussed.

The module explores issues of corporate governance regulations, the relationship between corporate governance and corporate performance, board structure and managerial opportunism, corporate social responsibility and the politics of corporate governance.

Module aims

The aims of the module are:

1. To give students an appreciation of the role of corporate governance as a means of accountability in organisations and society.
2. To equip students with knowledge and understanding of the fundamental elements of corporate governance process.
3. To enable students to critically evaluate the key research and professional literature dealing with the current issues and controversies in corporate governance.
4. To provide students with a foundation that will prepare them for carrying out research in corporate governance.

Module learning outcomes

On successful completion of the module, students will be able to:

1. Understand a number of concepts of corporations and governance, and the term 'corporate governance'.
2. Understand various roles that corporate governance can play in ensuring accountability to all stakeholders.
3. Understand different dimensions of corporate governance based on legal, economic, political and social relations.
4. Analyse case studies within the context of the theoretical constructs of corporate governance.
5. Critically evaluate issues in corporate governance.


The module is specifically designed to provide students with a set of transferable skills which will be applicable in their professional life. Specifically, the module seeks to support students to:

1. Identify and critically evaluate key features and arguments covered in texts
2. Communicate effectively orally and in writing, in presentations and essays
3. Develop a range of technical skills enabling them to analyse case studies data and identify key features
4. Work under pressure independently and effectively to meet deadlines (time keeping skills)
5. Develop coherent and well-structured lines of argument supported by relevant analysis and concepts.

Learning and teaching methods

The module comprises one two-hour lecture/seminar per week for ten weeks. There will be a one (1) hour lecture and a one (1) hour seminar each week. The purpose of the first part of the session is to introduce and outline the major issues involved in each week's topic. In the second part of the session, there will be discussion of the key issues arising from the lecture material based on questions and problems, mini case study materials and relevant readings. You will be expected to carry out the required reading and prepare material for presentation and discussion in the seminar part of the weekly sessions. Seminars are run as one-hour session directly following the lecture. Students are expected to undertake the suggested readings before attending the seminars, and to make an effort to participate in seminar discussions. Students are expected to attend and participate in the seminars having prepared beforehand. Engagement and participation are two key elements of the learning process and will help students develop their analytical and communication skills.
